Each year, Imagine Canada seeks out people interested in helping it achieve its mission of helping to improve the situation for charities serving Canadians and others around the world.
Imagine Canada invites nominations or expressions of interest from those interested in serving on the Board of Directors and committees.
Board of Directors
Four vacancies will need to be filled at the 2016 annual general meeting. Three incumbents are eligible for re-election to their second term. The remaining position is held by a Director whose second term ends this year and so is not eligible for re-election.
Directors of Imagine Canada meet four times a year through a combination of in-person meetings and teleconferences. They compose the senior decision-making body of the organization. The Board operates on a policy governance model.
In considering candidates, the nominations subcommittee will seek to ensure balance in terms of geography, gender, experience, diversity and subsector. The subcommittee has also been instructed to ensure that at least half of Directors are connected (through employment or service on the board) to an organization that is a member of Imagine Canada.
Risk Management, Finance and Audit (RMFA) Committee
The RMFA committee is composed of Directors and non-Directors, with a maximum of eight members. Among its other duties, it is responsible for reviewing the budget prepared by management for presentation to the Board, considering regular financial reports, and identifying risks to the organization and management’s proposals for mitigating those risks.
The key criteria in selecting members to the committee are:
- a good understanding of NFP
- excellent business judgment
- background in finance, law, compliance and/or risk management
- geographic diversity
- “out of the box” thinkers
- understanding of the respective roles of the Board, the committee, external auditors and management in overseeing the financial operations of the organization
Governance & Human Resources Committee
The Governance & Human Resources Committee is composed of five directors and up to three others. It is responsible for helping to ensure good governance practices are employed throughout the organization, including carrying out an annual assessments of the Board of Directors and a peer review of Directors. The committee has lead responsibility for ensuring appropriate human resource policies and practices within the organization and is responsible for the annual performance review of the CEO.
The key criteria in selecting members of the committee are significant experience in the sector and superior knowledge of governance and human resource practices.
